2022年4月14日，美國企業家伊隆·馬斯克提議以430億美元的價格收購社交媒體公司推特。而在之前，馬斯克便以26.4億美元的價格收購了推特公司9.1%的股份。在馬斯克意圖收購推特公司之前，他曾接受推特公司的邀請而加入其董事會。為了應對馬斯克的收購提議，推特董事會宣佈啟動「毒丸計劃」，批准股東們在發生惡意收購時購買額外的股票。4月25日，推特公司宣佈決定接受馬斯克的收購提議。7月8日，馬斯克一度宣佈取消收購提議。10月3日，馬斯克向推特表示計劃按此前協定的原報價收購推特公司。[1]10月27日，馬斯克完成以440億美元將推特私有化的交易。[2]

背景

伊隆·馬斯克於2010年6月在推特上發表了他的第一條推文[3]；而截至他收購推特的時候，他的關注者已經超過8,000萬人[4]。2017年12月，曾有人建議馬斯克收購推特，而馬斯克對此的回應是「多少錢？」[5]。

2022年3月20日，美國保守派諷刺網站巴比倫蜜蜂的推特帳號因為將身為跨性別女性的美國健康與民眾服務部助理部長（英語：Assistant Secretary for Health）麗素·萊文稱為「年度男性」而被暫停使用，推特官方聲稱巴比倫蜜蜂的這一行為觸犯了其有關「仇恨行為」的政策[6]。巴比倫蜜蜂拒絕刪除該推文以換取解禁帳戶的使用權，而推特公司隨後也宣佈駁回了該網站的上訴[7][8]。根據巴比倫蜜蜂的行政總裁賽斯·狄龍（Seth Dillon）的說法，他們的帳戶被停權後不久就接到了馬斯克的電話，馬斯克的來電是想和他們確認是否已經被暫時停權並表示他「可能需要買下推特」[9]。3月24日，馬斯克在推特上發表了針對推特公司的批評聲明[10]，並就推特是否遵守「言論自由對民主運作至關重要」這一原則進行民意調查[11]。

過程

早期

2022年1月31日，馬斯克開始購買推特公司股票[10]。

4月4日，馬斯克宣佈他已於3月14日以26.4億美元的價格成功收購了推特公司9.1%的股份[15]，成為該公司的第一大股東[16]。訊息公開後，推特公司的股價經歷了首次公開募股以來的最大股價漲幅，盤中漲幅高達27%[17]。

4月5日，推特公司邀請馬斯克加入公司董事會[18]，得到馬斯克接受[19]，條件是禁止馬斯克占股超過14.9%[20]。

4月10日，在針對馬斯克的任命生效前，馬斯克發表了數條批評推特公司的推文並在隨後改變了加入董事會的決定[21]。

中期

馬斯克在TED 2022上受訪談及收購Twitter

4月14日，馬斯克主動提出一項無約束力決議，提議以430億美元的價格全資收購推特公司（每股54.2美元）[22]。外界認為此舉是惡意收購[23][24]。推特表示董事會「將仔細審查有關提議，以確定收購計劃符合公司及所有Twitter股東最佳利益的行動方案」[25]。馬斯克相信公司「將成為全球首屈一指的言論自由平台」，強調言論自由「是民主社會有效運作的必備條件」，自己無意通過收購增加財富[26][27]。有意思的是，54.2美元的每股股價恰好契合大麻文化（英語：cannabis culture）中的420一詞[28]。不過，在TED2022年的一次採訪中，馬斯克提到420中的42其實是道格拉斯·亞當斯《銀河系漫遊指南》中的著名典故「生命、宇宙以及任何事情的終極答案」[29]。

4月15日，推特董事會宣佈啟動「毒丸計劃」，批准股東在惡意收購時購買額外的股份。計劃於2023年4月14日前有效[30]。4月20日，馬斯克表示已獲得摩根士丹利、美國銀行、巴克萊銀行、三菱日聯金融集團、法國興業銀行、瑞穗銀行和法國巴黎銀行465億美元融資，計劃進行要約收購（英語：tender offer）[31]，其中70億為進階擔保銀行貸款（英語：Senior debt）、60億為次級貸、125億為馬斯克個人保證金貸款、210億為馬斯克持有的忒斯拉現金股權，通過變賣忒斯拉股票或其他資產獲得[32][33][34]。另外，推特借了130億美元，相當於公司2022年預計營業現金流的七倍。部分貸款的銀行發現其中的多重風險太大，只選擇參與向馬斯克提供125億美元保證金貸款[35]。據估計，上述貸款服務費（英語：loan servicing）約10億美元[32]。兩天後，馬斯克以「X控股」（X Holdings）的名義註冊了三家控股公司，為全盤收購做準備[36]。5月4日，馬斯克就此次收購對言論自由及「網絡危害」的影響接受英國下議院數位、文化、媒體和體育委員會詢問[37]。次日，馬斯克再獲得瓦利德·本·塔拉勒·阿勒沙特、拉里·埃里森及幣安等19個投資者71億美元的股權投資[38]，使得馬斯克最初125億美元的個人銀行貸款減少到62.5億美元，所需的現金股權出資從210億美元略微減少到200億美元[39]。以獨立投資者身份參與融資的境外實體可能會面臨美國海外投資委員會針對國家安全方面的調查[40]。

後期

擱置

5月13日，馬斯克宣佈因需要等待推特提供有關數據確認其垃圾郵件賬戶以及虛假賬戶的佔比不足5%，決定暫緩收購案，但同時在推特中表示仍然致力於收購案。此決定在市場引發對收購案的擔憂，並導致推特股價在美股盤前暴跌逾20%[55][56][57]。

5月25日，推特股東向馬斯克發起集體訴訟，指控馬斯克違反加州公司法進行市場操縱[58][59]。

6月3日，收購行動通過美國反壟斷審查[60]。

6月6日，馬斯克向律師發去電子郵件，聲稱推特拒絕應要求提供用戶群體數據，後果可能會是「合併協定終止」[61][62]。對此，推特表示會繼續和馬斯克合作，保障雙方按協定完成交易[63]。

2022年7月8日，伊隆·馬斯克表示推特嚴重違反了協定中的多項條款，決定終止收購[64][65]。推特公司董事會主席布雷特·泰勒（英語：Bret_Taylor）則回應表示，董事會致力於按照與馬斯克商定的價格和條款完成交易，並計劃採取法律行動來推動併購協定，推特公司有信心在特拉華州衡平法院（英語：Delaware_Court_of_Chancery）獲勝[66]。當地時間7月12日，推特在特拉華州衡平法院正式對忒斯拉公司CEO伊隆·馬斯克提起訴訟，推特指控馬斯克自簽署合併協定以來一再貶低推特和收購事項、給推特帶來商業風險，對其股價造成下行壓力，並以機械人帳號的普遍存在等為藉口終止協定，推特要求馬斯克如約履行合併協定[67][68]。2022年8月30日，馬斯克正式向美國證監會和推特公司致函，表示終止440億美元的收購協定。[69]2022年9月9日，馬斯克的律師表示，由於推特公司與一名舉報人達成協定並向其支付了775萬美元，馬斯克440億美元收購推特公司的協定實際上已被終止。[70]

重新啟動

10月3日，馬斯克代表律師宣佈原定計劃重新啟動收購[71]，條件是Twitter須放棄官司[72]。據馬斯克律師團隊介紹，之所以重新啟動收購，是因為無法證明交易存在重大不利影響（英語：material adverse effect）。按照原定計劃，馬斯克和阿格拉瓦爾要分別在10月6日和10日作證[73]。馬斯克表示希望通過收購推特來打造一款名為「X」的「萬能APP」，將各種服務囊括其中[74]。

10月21日，訊息指馬斯克及推特兩方的銀行家和律師會在月底前完成收購所需的文書工作，屆時收購交易會正式達成[75][76]。

10月26日，馬斯克在個人推特帳號公佈一段影片，顯示他抱着一個廚房水槽走進推特總部大堂，並附文「Let that sink in」（字面意義為「讓它沉入水中」，引申義為訊息令人非常驚訝），同時將個人簡介修改為「推特首席」（Chief Twit）[77]。與此同時，馬斯克向推特員工表示裁員計劃仍然有效，但規模沒有《華盛頓郵報》此前報道的75%那麼多[78]。針對廣告商擔憂推特日後會步入地獄般的「完全免費」模式，馬斯克在公開信中重申收購不是貪婪之舉，而是以此打造一個「共用的數位城鎮廣場」[79]。

收購達成後，馬斯克要求員工加班加點工作，以趕在截至時間前對平台進行變更[82]，包括將推特首頁從登入介面更換成「探索」頁面[83]。與此同時，馬斯克於11月2日宣佈認證帳號訂閱服務「Twitter Blue」提價，從原本的4.99美元上調到8美元[84]。

11月3日，馬斯克宣佈啟動裁員行動，計劃對大約3700人（佔總數三分之一）進行裁員，被裁者會在4日上午9時之前收到郵件通知。行動期間，推特辦公室會暫時關閉，所有內聯網站訪問也將暫停。訊息公佈後，推特員工對公司提起集體訴訟，理由是未按照聯邦及加州地區法律提前60天通知裁員[85]。馬斯克於11月5日在推特發文，透露公司每日虧損高達400萬美元，裁員純屬無奈之舉；他表示每個離職員工會拿到3個月的遣散費，比法律要求高50%[86]。

12月18日，馬斯克在Twitter發起投票，以決定是否辭去Twitter的行政總裁。最終有1750萬人同意其辭職，佔總數57.5%[92]。隨後馬斯克表示「一旦發現蠢到可以接受這份工作的人」（as soon as I find someone foolish enough to take the job），就會辭職，轉入軟件和伺服器團隊[93]。

反應評論

宣佈收購之前

4月5日馬斯克進入推特董事會後，阿格拉瓦爾表示相信馬斯克的任命會為公司帶來長期價值，而多西則認為馬斯克「非常關心我們的世界，以及推特在其中扮演的角色」[19]。到了4月11日，阿格拉瓦爾轉而認為馬斯克撤出董事會是「最好的選擇」，公司將「對他的意見保持開放態度」[21]。第二天，推特股東起訴馬斯克涉嫌操作估價、違反美國證券交易委員會規則[94]。

4月14日，推特員工表示關切馬斯克對言論自由的看法[95][96]，得到其他資訊科技從業者贊同[97]。多位立場保守的評論員及政治人物對馬斯克推出修改推特規則表示期待[98]。4月19日，全國都市聯盟敦促推特拒絕馬斯克的收購提議，認為收購行動可能會對用戶的公民權利帶來反效果[99]。4月22日，美國眾議院共和黨要求保留所有關於馬斯克收購計劃的檔案，等待在2022年中期選舉過後接受國會質詢[100]。根據哈佛大學美國政治研究中心與夏里斯民調（英語：Harris Poll）進行的一項聯合民調，57%的美國選民贊成馬斯克收購[101]。佛羅里達州財務長（英語：Chief Financial Officer of Florida）的占美·帕特羅尼斯（英語：Jimmy Patronis）贊成馬斯克的行動，批評推特的毒丸計劃[102]。

宣佈收購之後
